Standard Terms & Conditions of Sale

These Standard Terms & Conditions of Sale ("Terms") govern all quotations, orders, invoices, sales, and transactions between Quality Control Company ("QCC") and its customers ("Customer"). By placing an order or accepting a quotation, Customer agrees to be bound by these Terms.

1. Acceptance of Orders and Commercial Use

All orders are subject to acceptance by QCC. Quotations are subject to change without notice until accepted. QCC reserves the right to refuse or cancel any order prior to shipment due to pricing errors, product availability, manufacturer restrictions, or other commercially reasonable circumstances.

All products sold by QCC are intended solely for commercial, industrial, laboratory, governmental, educational, and professional applications by qualified personnel. Customer represents and warrants that products purchased from QCC are not intended for personal, family, household, or other consumer use. Customer is responsible for selecting products appropriate for its intended use, and for maintaining and calibrating them in accordance with the applicable manufacturer's instructions and recommendations.

2. Pricing and Payment

Unless otherwise stated, prices exclude taxes, freight, duties, tariffs, installation, and calibration services. Payment is due according to the terms stated on QCC's quotation or invoice. Past-due balances may accrue interest at the maximum rate permitted by law, and Customer shall be responsible for reasonable collection costs.

3. Shipping and Delivery

Products may ship directly from the manufacturer or supplier. Orders containing products from multiple manufacturers may arrive in separate shipments. Unless otherwise agreed in writing, all products are shipped directly from the applicable manufacturer or primary supplier using Customer's designated UPS, FedEx, or other third-party carrier account. Delivery dates are estimates only and not guaranteed.

4. Freight and Risk of Loss

Unless otherwise agreed, title and risk of loss pass to Customer upon delivery of the products to the carrier at the point of shipment. Customer is responsible for inspecting shipments and filing claims with the carrier for transit damage or loss.

Oversized, heavy, or high-precision products, including but not limited to surface plates, large optical comparators, and similar equipment from any manufacturer, that exceed standard parcel shipping limitations will be shipped via Less-Than-Truckload (LTL) or other motor freight service. Unless otherwise agreed in writing, QCC will coordinate these shipments on a "Prepay & Add" basis, and all applicable freight charges will be added to Customer's invoice.

5. Returns, Exchanges and Cancellations

All returns require a written Return Merchandise Authorization (RMA). Returned products must be unused, in original packaging, and comply with the applicable manufacturer's return policy.

To qualify for return consideration, the product must be in new, sellable condition and free of engravings, scratches, or other damage. The product must be returned in its original manufacturer's packaging, with no stickers, tape, labels, or writing on the packaging, including protective sleeves or boxes. All original paperwork, including Certificates of Inspection, warranties, manuals, and other documentation originally supplied with the product, must be returned. Returned products must be packaged and shipped inside a protective shipping box to prevent damage during transit.

Customer is responsible for all return shipping costs. Original shipping and freight charges are non-refundable unless otherwise approved by QCC or required by law. Special-order, custom, modified, or calibrated products may not be canceled or returned once processing has begun.

A restocking fee will apply unless an offsetting PO (Purchase Order) is submitted for similar items of equal or greater value.

6. Manufacturer Warranties

QCC is a distributor and does not manufacture the products it sells. All warranties are provided solely by the applicable manufacturer. QCC will reasonably assist customers in coordinating warranty claims but makes no independent warranty unless expressly stated in writing.

7. Disclaimer of Warranties

Except for any transferable manufacturer warranty, all products are provided "AS IS." QCC disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

8. Limitation of Liability

QCC shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, business interruption, or production downtime. QCC's total liability shall not exceed the purchase price of the product giving rise to the claim.

9. Export Compliance

Customer agrees to comply with all applicable United States export control laws and regulations.

10. Force Majeure

QCC shall not be liable for delays or failures caused by events beyond its reasonable control.

11. Governing Law

These Terms shall be governed by the laws of the State of California, with exclusive venue in Los Angeles County, California.

12. Entire Agreement

These Terms, together with any quotation, invoice, and any manufacturer policies incorporated herein, constitute the entire agreement between QCC and Customer.

Manufacturer Warranty, Return & Cancellation Policies

The products sold by Quality Control Company are manufactured by third-party suppliers whose warranty, return, exchange, cancellation, calibration, and restocking policies may vary. Those published manufacturer policies in effect on the date of sale are incorporated into QCC's Standard Terms & Conditions of Sale by reference.

If a conflict exists between QCC's Standard Terms & Conditions of Sale and a manufacturer's published policy applicable to a specific product, the manufacturer's policy shall govern that product.
